1. Introduction
Welcome to GX Web Studio ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website located at gxwebstudio.com (the "Site") and your purchase or use of any web design, development, optimization, or related services ("Services") provided by GX Web Studio. By accessing the Site or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use the Site or engage our Services.
GX Web Studio is a Digital Marketing Agency based in the Waukesha, Wisconsin area, specializing in website design, development, and marketing for local service contractors.
2. Website Usage
2.1 Permitted Use
You may access and use the Site for lawful purposes only. You agree not to use the Site in any way that violates applicable federal, state, or local laws or regulations.
2.2 Intellectual Property
All content on the Site — including but not limited to text, graphics, logos, images, designs, and code — is the property of GX Web Studio and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written consent.
2.3 Accuracy of Information
We make reasonable efforts to ensure information on the Site is accurate and current. However, we do not warrant that all information is complete, reliable, or error-free. Pricing, service descriptions, and availability are subject to change without notice.
2.4 Third-Party Links
The Site may contain links to third-party websites. We are not responsible for the content, accuracy, or practices of any third-party sites and do not endorse them.
3. Services
3.1 Scope of Services
GX Web Studio provides website design, development, search engine optimization (SEO), Answer Engine Optimization (AEO), Google Business Profile optimization, social media marketing, email marketing, text marketing, paid advertising, and ongoing website maintenance services. The specific scope of work for each project will be outlined in a written proposal or agreement provided to the Client before work begins.
3.2 Client Responsibilities
To enable timely delivery, the Client agrees to:
- Provide all necessary content, images, logos, brand guidelines, and business information in a timely manner.
- Designate a single point of contact authorized to provide feedback and approvals.
- Respond to requests for feedback or approval within five (5) business days unless otherwise agreed.
- Ensure that all content provided to GX Web Studio is accurate, lawful, and does not infringe on any third-party rights.
Delays caused by the Client's failure to fulfill these responsibilities may result in extended timelines and are not the responsibility of GX Web Studio.
3.3 Design Process and Revisions
Each project includes a defined number of revision rounds as specified in the project proposal. Additional revisions beyond the agreed scope may incur additional fees. "Revisions" refer to minor adjustments to the approved design direction — not a complete redesign or change in project scope.
3.4 Project Timeline
Estimated timelines are provided in good faith but are not guaranteed. GX Web Studio will make reasonable efforts to meet stated deadlines. Timelines may be adjusted due to factors including but not limited to Client delays, scope changes, or unforeseen technical issues.
3.5 Use of AI Tools
GX Web Studio utilizes artificial intelligence tools and technologies as part of its design and development process. By engaging in our Services, you acknowledge and consent to the use of AI-assisted tools in the creation of your website and related deliverables.
4. Pricing and Payment
4.1 Service Pricing
Website design and development services are priced based on project scope:
- 1-Page Website: $999
- 2-Page Website: $1,499
- 3–4 Page Website: $1,999
- 5–7 Page Website: $2,499
- 8+ Page Website: $2,499 + $350 per additional page
Optional add-on services:
- Monthly Website Hosting, Domain & Maintenance: $50/month
- SEO & Marketing Package: $500/month (includes Google Business Profile optimization, SEO, and ongoing marketing services)
All prices are in U.S. dollars and are subject to change. The pricing in effect at the time of your signed agreement governs your project.
4.2 Payment Terms
Payment may be made in one of the following structures:
- Full Payment Upfront: 100% of the project total due before work begins.
- 50/50 Split: 50% due before work begins; remaining 50% due upon project completion and before the final site is delivered or launched. A 5% processing fee applies to split-payment arrangements.
Applicable processing fees are the responsibility of the Client where noted.
4.3 Late Payments
Invoices are due upon receipt unless otherwise stated. Payments not received within ten (10) days of the due date may result in project delays, suspension of work, or suspension of maintenance services. GX Web Studio reserves the right to charge a late fee of 1.5% per month on overdue balances.
4.4 Additional Work
Any work requested beyond the original project scope will be quoted separately and requires written approval from the Client before work begins. This includes but is not limited to additional pages, new features, content changes after launch, and expedited timelines.
5. Refund Policy
5.1 Before Work Begins
If you cancel your project before any design or development work has commenced, you are entitled to a full refund of any payments made.
5.2 After Work Has Begun
Once design or development work has begun, refunds will be prorated based on the percentage of work completed at the time of cancellation. GX Web Studio will provide documentation of work completed to date.
5.3 Completed Projects
No refunds are available for completed and delivered projects. A project is considered "complete" once the final deliverables have been provided to the Client or the website has been launched.
5.4 Monthly Maintenance
Monthly maintenance subscriptions may be canceled with thirty (30) days' written notice. No refunds will be issued for the current billing period upon cancellation.
6. Ownership and Deliverables
6.1 Website Ownership and Management
All websites designed and developed by GX Web Studio remain the property of GX Web Studio. GX Web Studio hosts, manages, and maintains all client websites. The Client is granted a license to use the website for their business purposes for the duration of their active service agreement. This license terminates upon cancellation of services or termination of the agreement.
6.2 Third-Party Assets
Certain elements used in the website — including but not limited to stock images, fonts, icons, and third-party plugins or libraries — may be subject to separate licensing terms. The Client is responsible for maintaining compliance with any applicable third-party licenses.
6.3 Portfolio Rights
GX Web Studio retains the right to display the completed project in its portfolio, on its website, and in marketing materials unless the Client provides written objection prior to project launch.
6.4 Source Files and Templates
GX Web Studio's proprietary templates, frameworks, design systems, and internal tools remain the intellectual property of GX Web Studio. The Client receives the finished deliverables but not the underlying proprietary tools or processes used to create them.
7. Hosting, Domain, and Maintenance
7.1 Hosting and Domain
GX Web Studio provides hosting and domain management for all client websites as part of the service agreement. GX Web Studio is responsible for maintaining server uptime, security, and performance. The Client agrees to allow GX Web Studio to manage hosting and domain settings on their behalf. In the event of service termination, domain transfer procedures will be coordinated between both parties.
7.2 Ongoing Maintenance
Website maintenance is available as a separate monthly service. Maintenance includes updates, security monitoring, minor content changes, and performance optimization as defined in the maintenance agreement. Maintenance does not include major redesigns, new feature development, or content creation.
7.3 Post-Launch Support
A fourteen (14) day post-launch support period is included with all website projects at no additional cost. This covers bug fixes and minor adjustments related to the original project scope.
8. Limitation of Liability
8.1 No Guarantee of Results
GX Web Studio does not guarantee specific results from its Services, including but not limited to search engine rankings, website traffic, lead generation, or revenue increases. While we employ best practices in SEO and AEO, results depend on many factors outside our control.
8.2 Limitation of Damages
To the fullest extent permitted by law, GX Web Studio's total liability for any claim arising out of or related to these Terms or our Services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
8.3 Exclusion of Consequential Damages
In no event shall GX Web Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill.
9. Indemnification
The Client agrees to indemnify, defend, and hold harmless GX Web Studio, its owner, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from the Client's use of the Services, breach of these Terms, or infringement of any third-party rights through content provided by the Client.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives termination of the agreement. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
11. Termination
11.1 Termination by Client
The Client may terminate a project at any time by providing written notice. Refund terms outlined in Section 5 will apply.
11.2 Termination by GX Web Studio
GX Web Studio reserves the right to terminate a project if the Client breaches these Terms, fails to make timely payments, becomes unresponsive for more than thirty (30) days, or engages in abusive or threatening behavior. In such cases, any completed work will be invoiced and payment is due for work performed.
12. Dispute Resolution
Any disputes arising under these Terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days, the dispute shall be resolved through binding arbitration in Waukesha County, Wisconsin, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, without regard to conflict of law principles.
14. Changes to These Terms
GX Web Studio reserves the right to update or modify these Terms at any time. Changes will be posted on the Site with an updated effective date. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms. For active projects, the Terms in effect at the time of the signed agreement will govern that project.
